Terms of Use

1. Definitions

Promnis: the SaaS service offered by Promnis, based in the Netherlands, for making PDF documents automatically accessible.

User: any natural or legal person who creates an account and uses the Service.

Service: the Promnis platform including all features for PDF processing, WCAG 2.1 AA compliance, and PDF/UA-1 validation.

Account: personal access to the Service, secured with email and password.

2. Applicability

These Terms of Use apply to all use of the Service. By creating an account or using the Service, you accept these terms. Deviating terms from the User are expressly rejected unless agreed in writing.

3. Account and access

You are responsible for keeping your login credentials confidential. All activities under your account are your responsibility. You must notify Promnis immediately of any unauthorized use of your account.

Promnis reserves the right to block or delete accounts in case of violation of these terms or suspected abuse.

4. Service

Promnis makes PDF documents automatically accessible. The Service processes your uploaded PDF files and generates updated versions compliant with WCAG 2.1 AA and PDF/UA-1 standards.

The Service is fully automated. No manual review or human assessment by Promnis takes place on processed documents. Results are based on algorithmic analysis and are provided as a tool, on an “as is” and “as available” basis.

The Service includes an editor that allows the User to review suggestions and make manual adjustments. Any changes made by the User via the editor are entirely the User’s responsibility. Promnis accepts no liability for the results of user-made modifications.

Promnis does not guarantee that the output fully complies with WCAG 2.1 AA, PDF/UA-1, or any other legal accessibility requirement. The User remains responsible at all times for compliance with applicable laws and regulations and for final review of processed documents.

Promnis aims for 99.5% annual availability, excluding planned maintenance. Promnis does not guarantee that the Service will function error-free or without interruption at all times.

5. Intellectual property

All intellectual property rights in the Service, including software, algorithms, models, and documentation, belong to Promnis. The User receives a non-exclusive, non-transferable right of use for the duration of the subscription.

Your uploaded PDF files remain your property. Promnis processes them solely for the purpose of providing the Service.

6. Subscriptions and payment

The Service is available in various subscription tiers with corresponding limits and pricing as displayed on the pricing page. Payment is due in advance monthly or annually via the offered payment methods.

Prices exclude VAT unless stated otherwise. Promnis reserves the right to adjust prices with 30 days' notice.

In case of late payment, Promnis may suspend access to the Service after a payment reminder.

7. Limitation of liability

The Service is provided “as is” and “as available”, without any warranty, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Promnis is not liable for:

  • Indirect damages, including consequential damages, lost profits, missed savings, or damages from business interruption.
  • Damages resulting from incorrect, incomplete, or insufficient automated processing of PDF files.
  • Damages resulting from manual modifications made by the User via the editor.
  • Processed documents not meeting legal requirements, including but not limited to WCAG 2.1 AA, PDF/UA-1, or any national accessibility legislation.
  • Decisions or actions by the User or third parties based on the output of the Service.

Promnis’s total liability, regardless of legal basis, is limited to the amount actually paid by the User in the 12 months preceding the damage-causing event.

The User indemnifies Promnis against all claims from third parties related to the use of the Service or its output.

8. Data processing

Promnis processes personal data in accordance with the General Data Protection Regulation (GDPR). The privacy policy is available at promnis.nl/privacy and forms an integral part of these terms.

Uploaded PDF files are processed on secure servers within the EU and are automatically deleted after the retention period specified in the subscription.

9. Termination

You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period. After cancellation, you retain access to the Service until the end of the paid period.

Promnis may terminate the agreement immediately in case of serious breach of these terms.

10. Amendments

Promnis may amend these terms. Material changes will be announced by email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance of the amended terms.

11. Governing law and disputes

These terms are governed by Dutch law. Disputes shall be submitted to the competent court in Amsterdam.
